1. About PatentBroker.xyz
PatentBroker.xyz is a patent brokerage platform operated by Solar Muster Inc., a corporation incorporated under the laws of Ontario, Canada. The platform connects inventors who wish to sell patents or patent applications with qualified corporate buyers. Revenue is earned through listing fees, buyer subscriptions, and success commissions on completed transactions.2. Acceptance of Terms
By registering an account or using any part of PatentBroker.xyz, you agree to be bound by these Terms of Service and all policies incorporated by reference, including the Anti-Circumvention Policy. If you do not agree, do not use the platform.3. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into contracts in your jurisdiction. By registering, you represent that you meet these requirements. Corporate buyers must be duly organized legal entities.4. Inventor Accounts
Inventors may register to list patents or patent applications for sale. By submitting a listing, you represent that:
- You are the rightful owner of the patent or have authority to sell it;
- All information provided is accurate and not misleading;
- The patent or application is free from undisclosed encumbrances, liens, or third-party claims.
Listings are subject to review and approval by Solar Muster Inc. before becoming visible to buyers. We reserve the right to decline or remove any listing at our discretion.
5. Buyer Accounts
Corporate buyers must register and be approved before accessing listing details or making inquiries. Buyers represent that they are authorized to acquire intellectual property on behalf of their organization and have the financial capacity to complete acquisitions.6. Fees and Commission
Inventor listing fee: Inventors pay an annual listing fee of $149 CAD/year to publish their patent or patent application on the platform. This fee is charged upon listing submission and is non-refundable. For the current Founding Campaign, the first 100 Founding Inventors are permanently exempt from the listing fee for as long as their account remains active.
Buyer subscription: Corporate buyers pay a subscription of $500 CAD/month to access verified listings and contact inventors. The subscription may be cancelled at any time; access continues until the end of the current billing period. No refunds are issued for partial months.
Success commission: Upon successful closing of a transaction introduced through the platform, a commission is payable by the inventor:
- Standard inventors: 12% of the gross transaction value.
- Founding inventors: a permanently reduced rate of 8% of the gross transaction value.
Commission is payable within 10 business days of closing. Solar Muster Inc. reserves the right to pursue unpaid commission through legal means, including recovery of legal costs.
7. Confidentiality
All listing details, buyer inquiries, and transaction terms shared through the platform are confidential. Neither party may disclose such information to third parties without the written consent of Solar Muster Inc. and the other party. This obligation survives the termination of your account.8. Prohibited Conduct
You may not:
- Provide false, misleading, or fraudulent information;
- Circumvent the platform to complete a transaction without paying commission (see Anti-Circumvention Policy);
- Use the platform to infringe any third-party intellectual property rights;
- Interfere with the platform's operation or security;
- Use automated tools to scrape or extract listings without authorization.
9. No Guarantee of Sale
Solar Muster Inc. does not guarantee that any listing will result in a completed transaction. We act as an intermediary and do not provide legal, financial, or valuation advice. You are encouraged to seek independent professional advice before entering into any transaction.10. Limitation of Liability
To the maximum extent permitted by applicable law, Solar Muster Inc. and its officers, directors, and employees shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the platform. Our total liability to you shall not exceed the commission amounts paid by you in the 12 months preceding the claim.11. Indemnification
You agree to indemnify and hold harmless Solar Muster Inc. from any claims, damages, or expenses (including legal fees) arising from your breach of these Terms, your listings, or your use of the platform.12. Termination
We may suspend or terminate your account at any time for breach of these Terms. Commission obligations that arose prior to termination remain enforceable. You may close your account by contacting us, but this does not extinguish any outstanding commission owed.13. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario, and you consent to the exclusive jurisdiction of those courts.14. Changes to These Terms
We may update these Terms from time to time. We will notify registered users by email. Continued use of the platform after the effective date of any change constitutes your acceptance of the revised Terms.
