Anti-Circumvention Policy

Effective date: June 1, 2025  ·  Operated by Solar Muster Inc.

Summary: If PatentBroker.xyz introduces you to an inventor or buyer, any transaction between you and that party within 36 months is subject to our commission — regardless of whether the deal is completed through our platform.

1. Purpose

This Anti-Circumvention Policy protects the business interest of Solar Muster Inc. in the introductions it facilitates between inventors and buyers. It applies to all registered users of PatentBroker.xyz and forms part of the Terms of Service.

2. What Constitutes an Introduction

An introduction occurs when Solar Muster Inc. or PatentBroker.xyz:

  • Provides a buyer with access to an inventor's listing or contact information;
  • Facilitates direct communication between an inventor and a buyer;
  • Shares a listing, term sheet, or patent summary with a prospective buyer; or
  • Identifies a buyer to an inventor as a prospective acquirer.

An introduction is deemed to have occurred regardless of the channel through which it took place (email, platform message, phone call, or otherwise) provided it originated with or through Solar Muster Inc.

3. The 36-Month Window

Once an introduction has been made, our commission applies to any transaction between the introduced parties that closes within 36 months of the date of first introduction. This includes:

  • Outright patent assignments;
  • Exclusive or non-exclusive licensing agreements;
  • Settlement agreements that include IP transfer or licensing;
  • Acquisition of the inventor's company where the patent is a material asset.

The 36-month window applies even if the parties conclude the transaction directly, without involvement from PatentBroker.xyz, and even if one or both parties have closed their accounts on the platform.

4. Prohibited Conduct

The following are prohibited and constitute a material breach of these Terms:

  • Completing a transaction with an introduced party without notifying PatentBroker.xyz;
  • Structuring a transaction to avoid commission (for example, by assigning a nominal price with undisclosed side consideration);
  • Soliciting or accepting an introduction from one party while conducting parallel negotiations with the other party outside the platform;
  • Disclosing an introduced party's identity or contact details to a third party without our written consent.

5. Notification Obligation

If an introduced buyer and inventor reach any agreement — including a letter of intent, term sheet, or preliminary understanding — both parties are required to notify Solar Muster Inc. within 5 business days. Failure to notify is itself a breach of this policy.

6. Commission Calculation

The commission payable upon a transaction within the 36-month window is:

  • Founding Inventors: 8% of gross transaction value (as confirmed at registration);
  • Standard Inventors: 12% of gross transaction value.

Gross transaction value includes all consideration received, including deferred payments, royalties, equity, or non-cash components at fair market value. Commission is payable within 10 business days of closing.

7. Remedies

In the event of a breach of this policy, Solar Muster Inc. reserves the right to:
  • Claim the full commission as if the transaction had been properly disclosed, plus interest at the rate of 2% per month from the closing date;
  • Seek injunctive relief to prevent further circumvention;
  • Recover legal costs incurred in enforcing this policy.

8. Governing Law

This policy is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario.
